Oppenhoff advises KSB on its change of legal form into a German Partnership Limited by Shares (KGaA)
The legal form of the German Partnership Limited by Shares (Kommanditgesellschaft auf Aktien, KGaA) is becoming increasingly popular amongst German enterprises. With KSB, yet another leading Mittelstand company has opted for a KGaA. As of today the company now operates under the name of KSB SE & Co. KGaA, with a general partner in the form of a so-called “monistic” SE (i.e., a European Company with a one-tier governance system). Oppenhoff & Partner advised KSB on this change of legal form which gives the company an innovative overall structure as yet unique on the German market.

EEG surcharges: Administrative Court of Frankfurt am Main must suspend proceedings
In a legal action brought by companies of the Georgsmarienhütte Group (GMH) against limitation notices under the German Renewable Energy Sources Act 2012 [Erneuerbare-Energien-Gesetz, EEG 2012], the European Court of Justice (ECJ) ruled today on a procedural legal issue raised by the Administrative Court [Verwaltungsgericht, VG] of Frankfurt am Main.

Oppenhoff & Partner has advised the Cologne engineering and metalworking enterprise Kohl-Gruppe AG (including “Kohl & Sohn”) on the sale of its divisions Automotive (Umform- und Fügetechnik Eisenach GmbH and Stanztech Treuenbrietzen Blechformteile GmbH), Mechanical Processing and Rail Technology to a joint enterprise of AL-KO Kober SE and the Munich investor Endurance Capital AG. The transaction is subject to clearance from the cartel authorities.

Oppenhoff & Partner advises Norican on refinancing of the acquisition of Light Metal Casting Solutions Group
Oppenhoff & Partner has advised the Danish engineering company Norican Group and its German subsidiaries on the refinancing in connection with the acquisition of the Light Metal Casting Solu-tions Group (Gummersbach). The refinancing was carried out by issuing bonds worth EUR 340,000,000 (4.5% Senior Secured Notes due 2023) and a super senior revolving credit facility in the amount of EUR 75,000,000. The acquisition, which was originally funded primarily by shareholder loans, was already concluded at the end of April 2017.

Oppenhoff & Partner advises Senvion on its successful reorganisation
Oppenhoff & Partner has advised the wind power plant manufacturer Senvion (Hamburg) on its successful reorganisation. Parts of the production have been relocated and several sites in Germany have been shut down, including Senvion GmbH’s businesses in Husum and Trampe and the works of PowerBlades GmbH in Bremerhaven. Furthermore, reorganisation measures have also been implemented at other sites. The planned measures will lead to a reduction of about 660 workers in Germany over the next few months.

Top 100 employer – Oppenhoff & Partner once again amongst the employers of choice
In the course of the trendence Graduate barometer studies 2017 – German Law Edition, Oppenhoff & Partner has once again been ranked amongst the top 100 most popular employers for young lawyers in Germany. Overall, about 2,200 young lawyers, including students, legal trainees as well as fully qualified lawyers, have been questioned from May to June on their employers of choice and career ambitions.
