Oppenhoff advises StatLab on acquisition of Histoserve

Oppenhoff advised StatLab Medical Products on the acquisition of the remaining stake in Histoserve GmbH. Together with the acquisition of the remaining stake in DiaPath France, StatLab completes the integration of both companies into Diapath as part of the StatLab brand presence in Italy and Northern Europe, and expands its direct sales presence in the four largest European markets: Germany, France, Italy, and the United Kingdom.

Founded in 1976 and headquartered in Texas, USA, StatLab is a leading developer and manufacturer of consumables for anatomic pathology, as well as labeling and control equipment for research and clinical laboratories.

Histoserve GmbH, based in Celle, Germany, was founded in 2010 and is a specialized provider of services and products for histology. The company offers installation, maintenance, and repair of equipment, as well as the supply of new and refurbished instruments for pathology laboratories in Germany and Northern Europe.

The Oppenhoff team led by Dr. Markus Rasner already supported StatLab on the German aspects of the acquisition of DiaPath and included Moritz Schmitz (both Private Equity), Dr. Gunnar Knorr (Tax), Dr. Wolfgang Kotzur (Finance), Lisa Zimmermann (Commercial), Marc Alexander Häger, Julia Höyng (both Real Estate), Anja Dombrowsky, Lisa Striegler (both Employment Law), Dr. Carsten Bormann (Regulatory), Valentino Halim (IT/Data Protection), and Dr. Patric Mau (Intellectual Property).

Oppenhoff regularly advises on add-ons for private equity portfolio companies, most recently the MRH Trowe Group on the acquisition of Heubeck AG, StatLab on the acquisition of Waldemar Knittel Glasbearbeitung GmbH, and DISA Global Solutions on the acquisition of SIGNUM Consulting.
