Oppenhoff advises Banijay on complete takeover of Brainpool

The commercial law firm Oppenhoff has advised the global media company Banijay on the acquisition of 100 percent of the Cologne-based TV production company Brainpool (including "Schlag den Star" (ProSieben), "Pastewka" (Amazon), "Luke! Die Schule und ich” (Sat.1)).

The previous Brainpool minority shareholders Jörg Grabosch, Ralf Günther and Andreas Scheuermann have now agreed to the sale of their shares. With this acquisition, Brainpool now becomes a complete family member of the Banijay Group. The group is an association of the most successful independent entertainment producers and entrepreneurs and recently announced the acquisition of Endemol Shine.

The Banijay Group had previously attempted to acquire Stefan Raab's shares in Brainpool. The minority shareholders responded by appealing against this acquisition and were also originally granted interim legal protection. Oppenhoff had already advised Banijay in the subsequent appeal proceedings before the Higher Regional Court [Oberlandesgericht - OLG] of Cologne, in which the court made it clear that it had no legal objections to the sale of the shares of TV entertainer Stefan Raab.
