Oppenhoff & Partner advises Weinig Group on acquisition of insolvent HOLZ-HER

Oppenhoff & Partner has advised Michael Weinig AG on the acquisition of the essential assets of the insolvent HOLZ-HER/Reich corporate group. The acquisition encompasses the business operations of the principal companies in Germany and Austria as well as the distribution companies in the USA and Canada. The purchase price is not being disclosed. HOLZ-HER will be continued within the Weinig Group with effect as of 1 April 2010 as an independent mark with the product groups CNC, edge-banding machines, pressure beam saws and vertical panel saws. Michael Weinig AG is one of the leading manufacturers of machines and systems for the solid wood processing industry.
An Oppenhoff & Partner team, led by Dr. Günter Seulen (corporate law), extensively advised Michael Weinig AG on this transaction. Further team members were Dr. Falk Osterloh (corporate law), Dr. Christoph Poertzgen (insolvency law), Dr. Gunnar Knorr (tax law), Peter Hützen (labour law), Georg Lecheler (IP). A team of Wolf Theiss, Vienna, led by Dr. Clemens Schindler, was retained by Oppenhoff & Partner to assist on questions concerning Austrian law. Parker Poe (North Carolina, USA) were the lawyers of the US subsidiary included in the acquisition.
