Oppenhoff advises Wegmann on the assumption of the Siemens shares in Krauss-Maffei Wegmann
Oppenhoff & Partner Rechtsanwälte is advising the Wegmann Group on the assumption of the 49% share of Siemens AG in Krauss-Maffei Wegmann GmbH & Co. KG (KMW). Through this assumption, which is subject to the consent of the cartel authorities, Wegmann, previously the majority shareholder of KMW, will become KMW’s sole shareholder. Wegmann will therewith successfully continue the course it set back in 1998 when it merged its own defence technology business with that of Krauss-Maffei AG. As in 1998, Wegmann has turned to its trusted lawyers: Oppenhoff Partner Michael Abels is once again leading the team of Wegmann lawyers, which now also includes Dr. Günter Seulen and Dr. Peter Etzbach (both Corporate), Dr. Axel Bödefeld (Taxes), Dr. Maxim Kleine (Antitrust Law) and Dr. Marc Hilber (Aerospace/Defence). Siemens is being advised on this transaction by its legal department, comprising Dr. Karin Flesch (Head of M&A), Sabine Kalbitz (M&A), Robert Spangler (Tax Department), Klaus Hermann Thress as well as Dr. Wolfgang Heckenberger (Chief Counsel Competition).
Oppenhoff & Partner regularly also advises the Wegmann Group on the expansion of its two other lines of business: the production of slip rings and apparatus as well as the Wegmann-Automotive division. Oppenhoff Partner Michael Abels shares his client’s delight: “We are proud that Wegmann has also retained us as its legal advisors on this transaction. Our wish for Wegmann and KMW in the future is that the great success they have enjoyed over the past few years be sustained in future.”
KMW, a globally operative enterprise, is known amongst other things for its Leopard combat tanks, the self-propelled gun 2000 and the Dingo APV, in which not just German soldiers are currently being securely transported in Afghanistan. KMW is also involved in the future equipping of the German Armed Forces with the PUMA IFV and the armoured vehicle Boxer.
